The Role
The Non-Executive Board Member will provide independent oversight and strategic counsel on major company decisions. Expertise in treasury, capital structure, and financial risk governance will be particularly relevant to the role.
Key Responsibilities
Governance & Risk
- Strengthen fiduciary oversight and resilience frameworks.
- Provide independent Board-level challenge and counsel.
Capital & Investment Strategy
- Advise on asset allocation and capital management.
- Provide guidance on capital structure, treasury, and financial risk.
M&A & Growth
- Guide acquisition strategies.
- Support post-merger integration.
International Scaling
- Advise on regulatory considerations across the UK, US, and EU.
- Support the company’s international expansion.
Qualifications
- 15+ years of senior finance experience at Group Treasurer, CFO, or CIO level.
- Proven experience in capital structuring, liquidity management, and financial risk.
- Experience with multi-entity governance and cross-jurisdictional reporting.
- Board or Audit Committee experience preferred.
- Strategic perspective, independence, and high integrity.
Commitment
- 1–2 virtual Board meetings per quarter, approximately 90 minutes each.
- Occasional document reviews requiring approximately 2–4 hours per month.
- One annual in-person Board retreat, with expenses covered.
Compensation
$250,000–$450,000/year + bonus, sign-on bonus, and stock options.
